End User License Agreement
Effective date: September 9, 2026
This End User License Agreement (the "Agreement") governs your access to and use of the Upfront Clarity Dashboard (the "Application"). By connecting your QuickBooks Online account or otherwise using the Application, you agree to the terms below.
1. License Grant
Subject to this Agreement, you are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Application for the internal business purpose of viewing financial reports for Upfront Clarity.
2. Authorized Users
The Application is intended for authorized users such as company management and board members. You are responsible for maintaining the confidentiality of any access to the Application and for all activity that occurs under your access.
3. Acceptable Use
You agree not to:
- Use the Application for any unlawful purpose or in violation of Intuit's terms;
- Attempt to gain unauthorized access to the Application, its data, or related systems;
- Reverse engineer, resell, or redistribute the Application except as permitted by law;
- Use the Application to access QuickBooks data you are not authorized to view.
4. QuickBooks Online and Intuit
The Application integrates with Intuit's QuickBooks Online APIs using OAuth 2.0 and requests read-only Accounting access. Your use of QuickBooks Online remains subject to Intuit's own terms and policies. The Application is not endorsed by or affiliated with Intuit.
5. Data
Financial data displayed in the Application originates from your connected QuickBooks Online company. Handling of that data is described in our Privacy Policy.
6. Disclaimer of Warranties
The Application is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the Application will be uninterrupted, error-free, or that report data will be complete or accurate. The Application does not provide financial, accounting, tax, or legal advice.
7. Limitation of Liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising from your use of or inability to use the Application.
8. Termination
You may stop using the Application and revoke its access to your QuickBooks Online account at any time. We may suspend or terminate access if this Agreement is violated.
9. Changes to this Agreement
We may update this Agreement from time to time. Continued use of the Application after changes become effective constitutes acceptance of the revised Agreement.
